Course Description
This course cultivates the understanding that to serve an emerging market in a transitional economy, China's corporation law and securities regulations almost have to be multi-faceted and ephemerally changeable. Firstly, China has had a strong vertical power base for thousands of years, while the horizontally equal business relationship that an operational business law relies on is still very weak. Secondly, the Chinese economy is in a gradual transition from a central planning system to a market-oriented system, and market players and the government would also take progressive steps to adapt to the principles and means of market economy. Thirdly, China has transplanted a lot of corporate rules and securities regulations from the Anglo-Saxon law and civil law traditions separately in different periods. It will take a period of time to domesticate many of those foreign ideas.
